Senior Corporate Associate Attorney

Job Overview: A law firm in Chicago, IL is seeking a Senior Corporate Associate Attorney to provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters. The successful candidate will have extensive experience in transactional work, excellent drafting and negotiation skills, and the ability to manage multiple complex projects simultaneously.

Duties:

• Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters
• Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements
• Conduct due diligence investigations and prepare comprehensive reports for clients
• Manage and oversee junior associates and paralegals on various transactions
• Collaborate with cross-functional teams to ensure seamless execution of deals
• Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients
• Represent clients in negotiations, mediations, and other dispute resolution processes, when necessary
• Ensure public securities and stock exchange compliance, including 34 Act and 33 Act regulations

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school
• 5 years of law firm experience in general mergers and acquisitions matters
• Must have 5 years of experience with a solid foundation in mergers and acquisitions, securities matters, and/or lending work
• Strong knowledge of corporate law, securities regulations, and corporate governance principles
• Bar admission in IL is required
