A law firm in Boise is seeking a Renewable Energy Project Development and Finance Associate Attorney with 4+ years of law firm experience in complex commercial contracts and mergers & acquisitions. The ideal candidate will have experience in project development contracts, preferably in the renewable energy sector, and a background in negotiating various agreements such as power purchase agreements, construction contracts, and equipment supply contracts.

Job Details:

  • Apply experience in project development contracts (including construction/EPC, equipment procurement, and offtake contracts) to the renewable energy space.
  • Handle legal aspects of renewable energy project development and finance, including power purchase agreements, company or asset purchase and sale agreements, hedge contracts, and related agreements.
  • Provide legal counsel and support on complex commercial contracts and transactions in the renewable energy industry.

Duties:

  • Negotiate and draft project development contracts specific to renewable energy projects.
  • Review and negotiate power purchase agreements (PPAs), construction contracts, equipment supply contracts, and other related agreements.
  • Conduct due diligence and provide legal advice on mergers & acquisitions in the renewable energy sector.
  • Assist clients in navigating regulatory and compliance issues related to renewable energy projects.
  • Collaborate with clients, stakeholders, and internal teams to achieve project objectives and mitigate legal risks.
  • Handle transactional matters including company or asset acquisitions and divestitures in the renewable energy space.

Requirements:

  • JD from an accredited law school.
  • Admission to the State Bar of Idaho or eligibility for admission.
  • 4+ years of law firm experience focusing on complex commercial contracts and mergers & acquisitions.
  • Experience in project development contracts and transactions, preferably in renewable energy.
  • Knowledge of power purchase agreements, construction contracts, and related agreements is highly desirable.

Education and Certifications:

  • Juris Doctor (JD) degree from an ABA-accredited law school.
  • Admission to the State Bar of Idaho or eligibility for admission.
