Job Overview:
A law firm is seeking a highly skilled and motivated Transactional Associate Attorney with at least three years of relevant legal experience. The successful candidate will have the opportunity to work on a variety of transactional matters, including contracts, real estate, construction, and nonprofit law, serving public agencies, educational institutions, and nonprofits. 

Location:
San Diego, CA

Duties:

  • Draft, review, and negotiate vendor agreements, professional services contracts, equipment leases, and SaaS agreements.
  • Advise on bidding processes, instructions to bidders, and requests for proposals.
  • Provide guidance on contract compliance, risk assessment, and dispute resolution.
  • Assist with property transactions, including acquisitions, leases, easements, and facilities use agreements.
  • Advise on real estate operational matters, including ADA compliance.
  • Draft and negotiate private works construction contracts and advise on public works bidding and procurement.
  • Counsel clients on construction project delivery mechanisms, payments, and performance issues.
  • Advise on legal matters related to education, including Education Code compliance and statutory requirements.
  • Support nonprofit organizations in formation, maintaining tax-exempt status, governance, and drafting agreements for fiscal sponsorships and fundraising.
  • Counsel on mergers, acquisitions, and governance for nonprofit entities.

Requirements:

  • J.D. from an accredited law school and active membership in good standing with the California State Bar.
  • Minimum of three years of relevant legal experience, particularly in transactional law.
  • Strong ability to manage multiple priorities and deadlines in a collaborative environment.
  • Experience with special district clients, educational institutions, or nonprofits is a plus.
  • Knowledge of the Public Contract Code, Corporations Code, and Education Code is highly desirable.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Member in good standing with the California State Bar.

Skills:

  • Strong drafting and negotiation skills for a variety of transactional matters.
  • Ability to manage complex legal matters in real estate, construction, education, and nonprofit law.
  • Excellent communication skills, both written and verbal.
  • Detail-oriented with strong organizational skills.
  • Ability to work independently and in a team-oriented, collaborative environment.
