A law firm seeks an experienced associate to join its Investment Funds practice group in Houston. This role is ideal for a candidate with 3-5 years of experience in corporate transactions, specifically within private equity, real estate funds, and alternative investment vehicles. The selected individual will have the opportunity to work on structuring, forming, and managing investment funds while collaborating with clients in the investment and financial sectors.

Duties:

  • Advise clients on the formation, structuring, and management of private equity funds, real estate funds, and alternative investment vehicles.
  • Draft and negotiate documents related to fund formation, investor relations, and compliance with regulatory frameworks.
  • Support fund managers and investors on various corporate governance matters and fund management issues.
  • Assist with the development of new investment strategies, including navigating complex transactions and financial arrangements.
  • Collaborate with internal teams on a wide variety of investment transactions, ensuring the highest level of client service.
  • Handle regulatory compliance for funds and manage relationships with clients across the investment landscape.

Requirements:

  • 3-5 years of experience in corporate transactions, preferably in private equity funds, real estate funds, or other investment vehicles.
  • Proven track record of handling the formation and management of investment funds and related corporate structures.
  • Strong understanding of financial transactions, regulatory compliance, and fund governance.
  • Excellent negotiation and drafting skills with an eye for detail.
  • Ability to collaborate with internal teams and manage client relationships effectively.
  • Experience with general corporate matters will also be considered.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic credentials and a solid foundation in corporate law.

Certifications:

  • Admission to the Texas State Bar or eligibility to be admitted to the bar promptly.

Skills:

  • In-depth knowledge of fund structuring, formation, and management in the private equity, real estate, and alternative investment sectors.
  • Exceptional drafting and negotiation abilities, particularly in relation to corporate transactions.
  • Strong communication and client management skills.
  • Ability to analyze complex financial transactions and provide strategic advice.
  • Detail-oriented and capable of working independently while managing multiple projects.
  • Familiarity with regulatory requirements impacting investment funds and their operations.
