Job Overview: A law firm in New York City seeks a Transactional Tax Associate Attorney with at least 2 years of tax experience or a tax LLM. Job Details:

  • Conduct research and provide written advice on federal income tax matters related to corporate and partnership taxation.
  • Review private placement memoranda (PPM) and provide insights on investment funds.
  • Draft memoranda and other written documents about transactional tax matters.
  • Work on various transactional tax matters, including fund formation, mergers and acquisitions (M&A), private equity transactions, capital markets transactions, debt instruments, real estate transactions, real estate investment trusts (REITs), and international transactions.
  • Collaborate with partners and senior associates to analyze complex tax issues and provide effective solutions.
  • Stay updated on changes in tax laws and regulations relevant to transactional tax practice.
  • Assist with client meetings, presentations, and negotiations as needed.

Requirements:

  • Minimum of 2 years of tax experience or a tax LLM.
  • Strong understanding of federal income tax matters with corporate and partnership taxation exposure.
  • Familiarity with investment funds and experience in reviewing private placement memoranda (PPM).
  • Proven ability to conduct legal research and draft clear and concise memoranda and written advice.
  • Stellar academic credentials from a reputable law school.
  • Prior experience in a comparable law firm environment is preferred.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Taxation LL.M. (Master of Laws) degree preferred.

Certifications:

  • Admission to the New York State Bar or eligibility to waive into the New York Bar.
  • Any additional tax-related certifications are a plus.

Skills:

  • Excellent analytical and problem-solving skills.
  • Strong written and verbal communication abilities.
  • Ability to work effectively in a team-oriented environment.
  • Attention to detail and ability to manage multiple tasks efficiently.
  • Proficiency in legal research tools and software.
