M&A/Transactional Tax Attorney

Duties:

• Provide legal counsel on federal transactional tax matters, including mergers and acquisitions, transaction structuring, and entity formation.
• Offer strategic guidance on choice of entity decisions and tax-efficient business structures.
• Draft and negotiate partnership agreements (preferred but not required).
• Conduct thorough legal research on tax laws and their implications for business transactions.
• Collaborate with internal teams and clients to develop tailored tax strategies.

Requirements:

• Minimum of three years of relevant experience in federal transactional tax matters.
• Strong background in M&A, tax structuring, and entity formation.
• Experience in drafting and negotiating partnership agreements is a plus.
• Excellent communication, analytical, and legal writing skills.

Education:

• Juris Doctor (J.D.) degree required.
