The ideal candidate will have substantive experience representing private equity sponsors and/or agents across a broad range of transactions. Strong analytical and writing skills are essential, and the candidate must be licensed and in good standing in the state of California.

Duties:

  • Represent private equity sponsors and agents in various transactions, including fund formation, investment structuring, and portfolio management.
  • Provide legal counsel on investment funds, including compliance with regulatory requirements and industry standards.
  • Draft, review, and negotiate complex legal documents such as fund formation agreements, investment management agreements, and other transactional documents.
  • Conduct thorough legal research and analysis to support transactional activities and regulatory compliance.
  • Assist in structuring and executing private equity deals, including conducting due diligence, negotiating terms, and managing closings.
  • Collaborate with clients and team members to develop and implement effective legal strategies.
  • Manage multiple projects and transactions simultaneously while maintaining a high level of detail and accuracy.
  • Stay informed about industry developments, regulatory changes, and emerging trends in investment funds and private equity.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in a variety of transactions.
  • Strong analytical skills with the ability to handle complex legal issues and transactions.
  • Excellent writing and communication skills, with a proven ability to draft and negotiate detailed legal documents.
  • Licensed and in good standing to practice law in California.
  • Demonstrated ability to manage multiple matters efficiently and effectively.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in California.
