A law firm seeks a talented and motivated Junior Associate to join its Investment Funds practice group in Raleigh, NC. The role focuses on public REIT capital markets, equity and capital market transactions, and advising public companies on securities law compliance, corporate governance, and disclosure matters. Duties

  • Assist in public REIT capital markets transactions, including equity offerings and related financial transactions.
  • Provide counsel to public companies on securities law compliance, including periodic and annual reporting obligations.
  • Advise on corporate governance matters, board practices, and disclosure requirements.
  • Conduct legal research and draft memoranda, agreements, and other transaction-related documents.
  • Collaborate with senior attorneys and cross-functional teams to support client objectives.
  • Maintain awareness of evolving regulatory standards and industry trends impacting securities and capital markets.

Requirements

  • 1–2 years of experience in corporate and securities law, preferably within a law firm environment.
  • Exposure to capital markets transactions or counseling public companies on securities and governance matters.
  • Prior experience in the REIT industry is advantageous but not required.
  • Ability to work efficiently in both collaborative and independent settings.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in North Carolina or eligible for prompt admission.
