A law firm is seeking an experienced and highly skilled Tax Equity Associate Attorney to join its New York City office. The ideal candidate will have a strong background in tax equity financings for renewable energy projects and tax credit transfer transactions. This role will require a thorough understanding of mergers and acquisitions (M&A) structuring, particularly in the energy sector, as well as excellent legal research and writing skills. The successful candidate will play a critical role in advising clients on complex tax equity structures, guiding them through the legal intricacies of renewable energy tax incentives.

Key Responsibilities:

  • Structure, negotiate, and draft tax equity financing agreements for renewable energy projects, including wind, solar, and other clean energy initiatives.
  • Advise clients on the structuring and transfer of tax credits, including Investment Tax Credits (ITCs) and Production Tax Credits (PTCs).
  • Provide legal counsel on federal and state tax policies and incentives related to renewable energy projects.
  • Work closely with clients and internal teams to structure and execute mergers and acquisitions (M&A) transactions within the renewable energy sector.
  • Draft and review legal documents such as tax equity agreements, purchase agreements, and partnership agreements.
  • Conduct due diligence for tax equity financing and M&A transactions, identifying potential risks and ensuring compliance with applicable tax laws.
  • Engage in negotiations with counterparties, including investors, developers, and financial institutions.
  • Stay current on legal and regulatory changes impacting renewable energy projects and tax equity structures.
  • Provide strategic legal advice on maximizing tax benefits and navigating regulatory frameworks for renewable energy projects.
  • Collaborate with multidisciplinary teams including finance, energy, and environmental law experts to ensure the successful execution of complex transactions.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in New York (or eligible for admission).
  • Exceptional academic credentials with a strong foundation in tax law and M&A transactions.

Experience:

  • 3+ years of experience structuring and handling mergers and acquisitions (M&A) transactions, with a preference for experience in renewable energy or related sectors.
  • Extensive experience with tax equity financings and tax credit transfer transactions, particularly in the renewable energy industry.
  • Familiarity with federal and state tax credit programs, including ITCs and PTCs.

Skills & Competencies:

  • Strong legal research and analytical skills, with the ability to interpret complex tax and energy laws.
  • Excellent writing and drafting skills, with attention to detail in preparing legal documentation.
  • Strong negotiation and communication skills, with the ability to advocate for clients in high-stakes transactions.
  • Ability to manage multiple complex transactions simultaneously and meet deadlines.
  • Strong problem-solving skills, with the ability to anticipate legal and tax issues and provide proactive solutions.
  • Collaborative team player with the ability to work effectively with clients, partners, and multidisciplinary teams.

Certifications & Licenses:

  • Licensed to practice law in New York, or eligible for admission.

Preferred Qualifications:

  • Experience advising renewable energy developers, investors, and financial institutions.
  • In-depth knowledge of renewable energy tax incentives and tax credit markets.
  • Familiarity with regulatory trends and policies affecting renewable energy and tax equity financing.
