A law firm in Los Angeles, CA is seeking a Corporate Securities Associate Attorney with a strong focus on securities matters. The successful candidate will have a proven track record in handling ’34 Act compliance, ’33 Act securities work, and capital markets transactions. This role requires significant experience in public and private offerings, corporate governance, and regulatory compliance. The ideal candidate will be self-motivated, confident, a personable team player with outstanding professional and academic credentials.

Duties:

  • Lead and manage compliance efforts for ’34 Act and ’33 Act securities work, including regulatory filings and disclosures.
  • Oversee and support capital markets transactions, including public and private offerings of equity, debt, and other securities.
  • Provide expert advice on corporate governance issues and ensure adherence to exchange listing requirements.
  • Address complex securities regulations, including Rule 144, Section 13, and Section 16, and provide strategic guidance.
  • Counsel clients on executive compensation matters and related legal considerations.
  • Draft, review, and negotiate legal documents such as registration statements, prospectuses, and other securities-related filings.
  • Collaborate with clients, internal teams, and stakeholders to develop and implement effective legal strategies.
  • Monitor changes in securities laws and regulations to provide timely and accurate legal advice.

Requirements:

  • Minimum of 3 years of experience in corporate securities law, with a focus on securities compliance and capital markets transactions.
  • Demonstrated expertise in handling public and private offerings of equity, debt, and other securities.
  • Strong knowledge of corporate governance, exchange listing requirements, and securities regulations (Rule 144, Section 13, Section 16).
  • Familiarity with executive compensation issues and related legal matters.
  • Self-motivated, confident, and personable with excellent teamwork skills.
  • Outstanding professional and academic credentials.
  • Admission to practice law in the state of California.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to practice law in the state of California.

Skills:

  • In-depth understanding of securities laws and regulations.
  • Proven ability to manage complex capital markets transactions and compliance matters.
  • Excellent drafting, negotiation, and communication skills.
