Job Title: Corporate Counsel

Job Overview
A prominent law firm located in Charleston, SC, is actively seeking a seasoned legal professional to serve as a Senior Counsel within its Corporate Transactions and Commercial Strategy team. The role centers around advising diverse business entities both publicly traded and privately held on a wide array of commercial and corporate matters. This opportunity involves hands-on legal work, strategic deal advising, and day-to-day client interaction in a fast-paced and collaborative legal environment.

Duties

  • Oversee and manage complex commercial and corporate legal matters for business clients

  • Draft, review, and negotiate key business agreements, including service, supply, logistics, procurement, and vendor contracts

  • Provide strategic legal guidance in the context of mergers, acquisitions, and reorganizations

  • Advise on corporate governance frameworks and assist clients with regulatory and structural decision-making

  • Coordinate cross-functional legal efforts on a variety of business initiatives

  • Maintain ongoing communication with clients to deliver practical, business-focused legal solutions

  • Participate in firm-wide knowledge sharing, mentorship, and team-based legal problem-solving

Requirements

  • Minimum of 7 years of experience practicing corporate law with a focus on transactional work

  • Demonstrated familiarity with commercial contract structures and principles

  • Previous exposure to mergers and acquisitions is preferred

  • Proven ability to work directly with business executives and corporate stakeholders

  • Strong interpersonal skills and the ability to collaborate with a team of legal professionals

  • Excellent drafting, negotiation, and analytical skills

  • Capable of managing multiple legal matters concurrently with minimal oversight

Education

  • Juris Doctor (J.D.) or equivalent legal degree from an accredited law school

Certifications

  • Active license to practice law in South Carolina preferred, or eligibility to obtain licensure
