A law firm based in New York City is seeking an Executive Compensation & Employee Benefits Associate Attorney with 2-3 years of experience. The ideal candidate will have a background in executive compensation and employee benefits matters related to corporate transactions, financial restructurings, and securities aspects of executive compensation, including public company disclosure. Stellar academic credentials and comparable law firm experience are preferred.

Duties and Responsibilities:

  • Advise on executive compensation and employee benefits matters in connection with corporate transactions, including mergers and acquisitions, and financial restructurings.
  • Provide guidance on the securities aspects of executive compensation, including compliance with public company disclosure requirements.
  • Draft and review compensation agreements, benefit plans, and related documentation.
  • Conduct legal research and analysis on executive compensation and employee benefits laws and regulations.
  • Collaborate with senior attorneys and clients to develop and implement compensation and benefits strategies.
  • Assist in managing due diligence processes related to executive compensation and employee benefits during transactions.
  • Stay informed about developments in executive compensation, employee benefits, and securities laws and regulations.
  • Support clients in addressing regulatory compliance issues and navigating complex legal challenges related to compensation and benefits.

Requirements:

  • 2-3 years of experience in executive compensation and employee benefits law, with a focus on corporate transactions and financial restructurings.
  • Experience with securities aspects of executive compensation and public company disclosure.
  • Stellar academic credentials and relevant law firm experience.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of New York (or eligibility for admission).

Skills:

  • Expertise in executive compensation and employee benefits matters, including corporate transactions and financial restructurings.
  • Strong understanding of securities laws and public company disclosure requirements.
  • Excellent drafting, research, and analytical skills.
  • Ability to provide strategic legal advice and develop effective compensation and benefits strategies.
  • Effective communication and interpersonal skills.
  • Ability to work collaboratively with clients and colleagues in a fast-paced environment.
  • Attention to detail and strong problem-solving abilities.
