Job Overview:

A prominent law firm is seeking a mid-level to senior Corporate Associate with a strong background in public company reporting compliance, governance, and capital markets transactions. This role involves working with public companies on SEC compliance, disclosure, and Nasdaq/NYSE requirements, as well as representing issuers and investment banks in various capital market transactions. Experience with technology and life sciences companies is highly valued.

Location:

  • Seattle, WA

Duties:

  • Oversee compliance with public company reporting requirements, including SEC filings and governance matters
  • Manage day-to-day compliance and disclosure issues, including Nasdaq/NYSE regulations
  • Represent clients in capital markets transactions, such as:
    • Initial Public Offerings (IPOs)
    • Equity and debt offerings
    • Private investments in public entities (PIPEs)
    • At-the-market offerings
  • Support clients within the technology and life sciences sectors on capital markets issues

Requirements:

  • Experience in public company governance, compliance, and disclosure matters
  • Background in capital markets transactions, including working with issuers and investment banks
  • Knowledge of SEC regulations and Nasdaq/NYSE compliance standards
  • Familiarity with the technology and/or life sciences sectors is preferred

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active bar membership in good standing in relevant jurisdiction(s)

Skills:

  • Strong understanding of public company compliance and governance
  • Proficiency in capital markets transactions and SEC regulations
  • Excellent client service and communication skills
  • Ability to manage multiple complex transactions and tight deadlines effectively
