Job Overview:

A prominent law firm is seeking a highly qualified mid-level associate (class of 2019-2021) to join its Tax practice in the New York office. The ideal candidate will have 3-5 years of experience in general transactional tax work. The Tax group works closely with the firm's corporate practice and advises clients on various tax matters, including corporate mergers, acquisitions, partnerships, private equity, real estate transactions, and capital markets activities. This role offers an opportunity to work on complex and high-profile transactions in a collaborative, team-oriented environment.

Location:

  • New York, NY

Duties:

  • Advise clients on tax aspects of corporate mergers, acquisitions, and divestitures.
  • Work with partnerships, LLCs, joint ventures, and private equity funds on structuring and tax planning.
  • Provide tax advice related to real estate transactions, real estate fund formation, and real estate investment trusts (REITs).
  • Counsel clients on financing, capital markets, and investment transactions.
  • Draft and review tax-related documents and agreements.
  • Collaborate with corporate and real estate teams to provide integrated tax solutions for clients.
  • Manage client relationships and ensure the delivery of high-quality legal services.
  • Stay up-to-date with changes in tax law and regulations.

Requirements:

  • 3-5 years of experience in general transactional tax work.
  • Strong experience in corporate mergers and acquisitions, partnerships, and private equity tax matters.
  • Knowledge of real estate tax law, including real estate fund formation and REITs.
  • Experience with financing and capital markets transactions is a plus.
  • Exceptional academic credentials.
  • Relevant law firm experience.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities and work collaboratively in a team environment.
  • Bar admission in the jurisdiction where the position is based, or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the bar in the jurisdiction where the position is based, or eligibility to obtain admission promptly.

  • Ability to provide strategic tax advice on complex corporate transactions.
