A law firm is seeking a highly qualified and experienced Tax Equity Associate Attorney to join its team in Dallas, TX. The successful candidate will focus on tax equity financings for renewable energy projects and tax credit transfer transactions. This role requires strong legal skills in structuring complex financial transactions, with a particular emphasis on mergers and acquisitions (M&A) in the energy sector. Candidates should demonstrate exceptional academic credentials, legal expertise, and a keen interest in the renewable energy field.

Key Responsibilities:

  • Structure, negotiate, and draft complex tax equity financings for renewable energy projects, including solar, wind, and other renewable energy ventures.
  • Advise clients on the legal and financial aspects of tax credit transfer transactions.
  • Provide guidance on tax credit programs and the transferability of renewable energy credits.
  • Collaborate with internal teams and clients to structure mergers and acquisitions (M&A) transactions in the renewable energy sector.
  • Conduct legal research and analysis on federal and state tax laws, regulations, and incentives relevant to renewable energy.
  • Assist in the preparation and review of project finance documents, including loan agreements, equity agreements, and partnership documents.
  • Represent clients in negotiations with financial institutions, investors, and regulatory agencies.
  • Ensure compliance with applicable tax laws and regulations throughout the transaction process.
  • Manage due diligence efforts and risk assessments in connection with renewable energy projects and M&A transactions.
  • Maintain up-to-date knowledge of legal trends, tax reforms, and industry changes in the renewable energy sector.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in Texas (or ability to become admitted).
  • Exceptional academic credentials, including strong performance in law school.

Experience:

  • 3+ years of experience structuring and handling mergers and acquisitions (M&A) transactions, preferably within the renewable energy sector.
  • Extensive experience in tax equity financings and tax credit transfer transactions.
  • Knowledge of renewable energy tax incentives, including federal and state tax credit programs.

Skills & Competencies:

  • Strong research and writing skills, with the ability to analyze complex tax issues and communicate them clearly to clients.
  • Excellent negotiation skills, with a proven ability to represent clients' interests in high-stakes transactions.
  • Ability to manage multiple projects and work under tight deadlines in a fast-paced environment.

Certifications & Licenses:
