A law firm seeks an experienced Energy Project Finance Associate to join its dynamic and nationally recognized Energy Project Development and Finance practice in Houston, TX. This hybrid position offers an exciting opportunity to collaborate on cutting-edge renewable energy and energy transition projects, working with sponsors, investors, developers, and lenders on complex transactions.

Duties:

  • Lead and support energy project development, M&A, and project finance transactions.
  • Draft and negotiate primary and ancillary deal documents, including purchase and sale agreements, investment agreements (e.g., tax equity), financing agreements, and joint venture agreements.
  • Conduct and manage comprehensive due diligence, addressing project real property, permitting, regulatory compliance, and other key matters.
  • Advise clients on energy regulatory issues, interconnection agreements, offtake agreements, and other project-specific agreements.
  • Oversee transaction workflows, supervise junior associates, and coordinate with internal specialist teams.
  • Engage directly with clients to provide legal counsel and ensure high-quality work product delivery.

Requirements:

  • A minimum of 4 years of significant experience in energy project development, M&A, or project finance transactions.
  • Familiarity with energy regulatory frameworks, project real property issues, and permitting requirements.
  • Proven experience negotiating and advising on project-specific agreements, including interconnection and offtake agreements.
  • Strong team-oriented mindset with the ability to manage high-responsibility roles in a fast-paced environment.
  • Exceptional drafting, negotiation, and analytical skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to one or more state bars (TX admission preferred or eligibility for admission without examination).

Skills:

  • Expertise in drafting and negotiating complex transactional documents.
  • Strong organizational and leadership skills for managing deal processes and teams.
  • Excellent research, writing, and verbal communication abilities.
  • Capacity to multitask and adapt to shifting priorities in a high-demand practice area.
