A law firm is seeking a Projects M&A Associate Attorney to join their team in Washington, DC. The ideal candidate will have a strong focus on domestic and international business transactions and corporate matters, particularly in the energy sector. This role involves working on high-profile projects involving renewable energy, energy storage, and power generation technologies. The candidate will handle a range of M&A transactions, including acquisitions, joint ventures, divestitures of projects, portfolios of projects, and entire development platforms.

Job Description:

Duties:

  • Advise clients on a variety of energy transactions, including mergers and acquisitions, joint ventures, and project development.
  • Draft, review, and negotiate complex transaction documents, including purchase agreements, joint venture and joint development agreements, and development services agreements.
  • Conduct thorough due diligence for projects M&A deals, including reviewing project development documents and conducting legal research.
  • Collaborate with internal and external stakeholders, including clients and colleagues in various specialty areas such as tax, regulatory, and real estate.
  • Stay updated on industry trends and changes in project development, M&A, and finance law.
  • Offer assistance on other legal matters concerning project development and M&A as needed.

Requirements:

  • Representative experience with clients in the renewable energy market, on matters including project development (including offtake, procurement, and construction) and/or project finance specific transactions.
  • Law firm mergers & acquisitions or project finance experience, preferably in a sophisticated national law firm environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the District of Columbia Bar or ability to become admitted to the DC Bar.

Experience:

  • 3-7 years of experience in a relevant field.

Skills:

  • Strong focus on domestic and international business transactions and corporate matters, particularly in the energy sector.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to conduct thorough due diligence and legal research.
  • Strong analytical and problem-solving abilities.
