Job Overview:

A law firm in Dallas, TX, seeks a Private Credit Associate Attorney to join their team. The ideal candidate will have 3-6 years of experience in private credit and finance matters, with a strong background in lending transactions. This role involves handling a variety of financing deals, including cash flow transactions, leveraged buyouts, and recapitalizations. The successful applicant will possess excellent technical skills, a deep understanding of credit transactions, and the ability to navigate complex financing structures.

Duties:

  • Provide legal counsel on private credit transactions, including cash flow deals, acquisitions, leveraged buyouts, and recapitalizations.
  • Draft and review loan agreements, credit facilities, and other financing documents.
  • Conducted due diligence and performed legal research related to private credit transactions.
  • Advise clients on credit issues and financing structures.
  • Collaborate with clients, lenders, and other stakeholders to negotiate and close transactions.
  • Manage and prioritize multiple transactions and projects simultaneously.
  • Assist with asset-based financings, restructurings, and workouts, as needed.
  • Ensure compliance with applicable laws and regulations.

Requirements:

  • 3-6 years of experience in private credit or finance matters, preferably at a nationally recognized law firm.
  • Demonstrated experience in lending transactions, with borrower-side exposure considered a plus.
  • General experience with financing transactions, including cash flow deals, acquisitions, leveraged buyouts, and recapitalizations.
  • Experience with asset-based financings, restructurings, and workouts is a plus.
  • Strong analytical, drafting, and negotiation skills.
  • Excellent client-facing and communication abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar in Texas or obtaining admission upon hire.

Skills:

  • Proficiency in legal research and analysis.
  • Ability to manage multiple projects and deadlines effectively.
  • Strong attention to detail and organizational skills.
  • Excellent written and verbal communication skills.
  • Ability to work both independently and as part of a team.
