Job Overview

A law firm seeks an experienced Fund Formation Associate to join its private investment funds practice in New York. This role focuses on structuring closed-end private investment funds, including venture capital, private equity, real estate, and hedge funds. The ideal candidate will also advise on regulatory compliance matters for investment advisers working with these funds. Duties

  • Counsel fund managers and institutional investors on structuring private investment funds.

  • Draft and review key fund-related documents, including partnership and operating agreements, private placement memoranda, and subscription documents.

  • Guide regulatory compliance, particularly regarding the Investment Advisers Act.

  • Support clients in navigating complex legal frameworks affecting private funds.

  • Work closely with internal teams to ensure seamless client service.

Requirements

  • Minimum of four years of experience advising fund managers and institutional investors on fund formation and regulatory matters.

  • Strong background in drafting and negotiating fund-related agreements.

  • Familiarity with regulatory compliance, including the Investment Advisers Act.

  • Ability to manage multiple projects with competing deadlines.

  • Exceptional attention to detail and strong organizational skills.

Education

  • Juris Doctor (J.D.) or Master of Laws (LL.M.) from an ABA-accredited law school.

Certifications

  • Admission to the bar in New York  (or eligibility for admission).
