Associate Attorney and Business Consultant

Responsibilities

The Associate Attorney and Business Consultant will:

• Provide expert legal and strategic advice on matters involving corporate law, including taxation, compliance, and organizational structuring.
• Lead and assist in high-level corporate transactions, such as mergers, acquisitions, stock repurchases, and similar strategic endeavors.
• Collaborate in the design and implementation of employee benefit programs, ensuring compliance with regulatory requirements and alignment with organizational goals.
• Offer guidance on corporate planning, including tax strategies, financial modeling, and regulatory navigation.
• Conduct detailed research, draft legal documents, and perform due diligence to ensure seamless transaction execution.
• Advise clients on governance issues, compliance risks, and best practices for maintaining operational integrity.

Requirements

• Juris Doctor (JD) degree from an accredited institution.
• Active bar membership in good standing or eligibility for licensure in Tennessee.
• 1–6 years of professional experience in corporate or business law.
• Strong preference for candidates with an advanced degree or specialization in taxation, such as an LLM in Taxation, or equivalent professional experience in finance, accounting, or banking.
• Outstanding communication, organizational, and analytical skills.
• A collaborative mindset with a proven ability to manage complex assignments effectively under tight deadlines.

• Proficiency in financial institution regulatory frameworks.
• Hands-on experience with large-scale mergers and acquisitions or strategic transactions.
