Job Overview:
A reputable law firm is seeking a Finance and Restructuring Associate to join its Finance & Restructuring practice group. The position offers an excellent opportunity to work on complex corporate finance and restructuring matters, advising financial institutions and borrowers in commercial finance transactions, including loan originations and real estate financings. The ideal candidate will have 3 to 6 years of experience and the ability to handle multiple assignments with minimal supervision. The role is available at multiple office locations, with a hybrid work model.

Location:

  • Florham Park

Duties:

  • Draft and negotiate loan agreements, security agreements, intercreditor agreements, and related financial documents.
  • Advise clients on covenant compliance and provide strategic guidance for commercial finance transactions.
  • Manage and lead due diligence teams for commercial finance and real estate transactions.
  • Work closely with clients, financial institutions, and private credit organizations on loan originations and restructurings.
  • Coordinate and manage legal specialists and other support staff.
  • Prioritize and manage multiple assignments efficiently with minimal supervision.
  • Maintain high-quality legal work while ensuring timely delivery on complex matters.

Requirements:

  • 3 to 6 years of experience in corporate finance, commercial finance, or a related field.
  • Strong experience drafting loan, security, intercreditor agreements, and other related financial documents.
  • Proven track record advising clients on covenant compliance and financial regulatory matters.
  • Experience leading due diligence teams and managing multiple legal specialists.
  • Ability to handle multiple complex transactions and meet deadlines.
  • Excellent communication and client-facing skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the bar in the applicable office location.

Skills:

  • Strong legal writing, drafting, and analytical skills.
  • Excellent verbal communication and interpersonal skills.
  • Ability to work independently and manage multiple assignments.
  • Strong organizational skills and attention to detail.
  • Proficiency in Microsoft Office Suite and legal research tools.
  • Solid understanding of corporate finance, loan originations, and restructuring processes.
