Real Estate Associate Attorney

A law firm is seeking a talented and experienced Real Estate Associate Attorney to join its Palo Alto, CA office. The ideal candidate will have 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and/or commercial mortgage-backed securities (CMBS). This position requires excellent academic credentials, along with strong verbal, written, and interpersonal skills to provide high-quality legal representation to clients and collaborate effectively with colleagues.

Key Responsibilities:

• Represent clients in real estate financing transactions, including the preparation, review, and negotiation of loan documents, mortgages, and other security instruments.
• Advise and represent lenders in complex financing matters, including structuring and negotiating co-lender and intercreditor agreements.
• Manage transactions involving commercial mortgage-backed securities (CMBS), ensuring legal and regulatory compliance.
• Conduct thorough due diligence, including title reviews, resolving title issues, and reviewing surveys and environmental reports for real estate transactions.
• Draft and negotiate a variety of real estate documents, such as deeds, promissory notes, loan agreements, security agreements, and more.
• Provide strategic legal advice to clients on the structuring, negotiation, and execution of real estate transactions.
• Manage multiple real estate finance projects from inception to closing, coordinating with internal and external stakeholders to ensure seamless execution.
• Work closely with other attorneys and legal staff to ensure transactions are compliant with federal, state, and local regulations.
• Keep current on developments in real estate law, particularly in relation to real estate finance and commercial real estate.
• Assist clients in resolving post-closing matters and other ongoing legal needs related to real estate transactions.

Requirements:

• Experience: 4-6 years of experience in real estate financing, lender representation, co-lender/intercreditor agreements, and CMBS transactions.
• Education: Juris Doctor (JD) degree from an accredited law school.
• Bar Admission: Licensed to practice law in California or eligible to waive into the California Bar.
• Academic Credentials: Strong academic background with demonstrated excellence in relevant coursework.

Certifications:

• Active and in good standing with the California State Bar.

Skills:

• Strong legal research, analytical, and problem-solving skills, particularly in real estate finance and CMBS.
• Excellent verbal and written communication skills, with the ability to convey complex legal concepts clearly to clients and colleagues.
• Proficiency in drafting, reviewing, and negotiating complex real estate and financing documents.
• Strong organizational skills, with the ability to manage multiple projects and deadlines effectively.

• Ability to build and maintain strong relationships with clients and provide strategic legal advice.

Preferred Qualifications:

• Experience with California real estate laws and regulations is a plus.
• Knowledge of environmental and land use issues related to real estate transactions is desirable.
