Corporate Associate Attorney

A law firm in Denver, CO is seeking a Corporate Associate Attorney with strong experience in drafting, negotiating, and managing commercial agreements, mergers & acquisitions, and other corporate transactions. The ideal candidate will work closely with clients and team members to support complex projects and provide counsel on corporate matters.

Duties:

• Draft and negotiate a variety of commercial agreements, including vendor contracts, licensing agreements, and service agreements.
• Draft and negotiate mergers & acquisitions (M&A) agreements, including asset purchase agreements, stock purchase agreements, and related documents.
• Manage significant portions of complex corporate projects, ensuring timely completion and adherence to client objectives.
• Work directly with clients to understand their business needs and provide legal advice and solutions.
• Coordinate with in-house counsel, firm colleagues, and external professionals to address day-to-day corporate matters and advance complex transactions.
• Support deal teams in due diligence, transaction structuring, and closing processes.
• Continuously develop legal skills and knowledge to counsel clients on a broad range of corporate issues and transactions.

Requirements:

• Juris Doctor (J.D.) degree from an ABA-accredited law school.
• Admitted to practice law in Colorado or able to waive into the Colorado Bar.
• 4+ years of experience in general corporate law and/or mergers and acquisitions at a law firm or corporate legal department.
• Strong work ethic with an entrepreneurial attitude and high level of attention to detail.
• Excellent oral and written communication skills, including the ability to convey complex legal concepts clearly and concisely.
• Exemplary client service skills with a proactive approach to meeting client needs.
• Ability to work collaboratively in a team environment and thrive in an inclusive, diverse workplace culture.
