This role requires experience in advising on reporting requirements, leading due diligence teams, managing specialists, and drafting critical documents. Duties and Responsibilities:

  • Provide legal counsel on public company reporting obligations, including compliance with SEC regulations and corporate governance requirements.
  • Advise clients on public and private securities offerings, including equity and debt transactions.
  • Draft and review key legal documents such as registration statements, offering memoranda, prospectuses, and underwriting agreements.
  • Lead due diligence efforts for capital markets transactions, coordinating with and managing specialists as needed.
  • Ensure client compliance with regulatory requirements by monitoring changes in securities laws and advising on necessary adjustments.
  • Collaborate with clients, internal teams, and external advisors to facilitate the execution of securities transactions and other capital markets activities.
  • Manage multiple projects simultaneously, ensuring high-quality work and meeting deadlines with minimal supervision.

Requirements:

  • 2-5 years of experience in corporate law with a focus on securities law and capital markets transactions.
  • Expertise in public company reporting obligations, SEC compliance, and corporate governance.
  • Proven experience in advising on and drafting documents for securities offerings, including public and private transactions.
  • Demonstrated ability to lead due diligence processes and manage the involvement of specialists.
  • Strong organizational skills with the capacity to handle multiple assignments concurrently.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Iowa State Bar, or eligibility for admission.
