A law firm in San Francisco is seeking an experienced Associate Attorney to join their Nonprofit and Tax-Exempt Organizations Practice. The ideal candidate will possess strong tax or corporate governance experience, with a focus on nonprofit and tax-exempt entity laws.

Duties and Responsibilities:

  • Prepare corporate documents, exemption applications, and other legal filings for nonprofit and tax-exempt organizations.
  • Conduct legal research and analysis on issues related to nonprofit governance, tax-exempt status, charitable giving, and compliance.
  • Draft memoranda, opinions, and advisory letters regarding nonprofit operations and compliance matters.
  • Advise clients on corporate governance best practices and compliance with federal and state regulations.
  • Assist in the formation, dissolution, and restructuring of nonprofit entities.
  • Collaborate with clients and firm partners to develop strategic solutions for nonprofit clients.
  • Maintain accurate and organized documentation and case files.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the California State Bar or eligibility for admission by waiver or examination.
  • Minimum of 3 years of relevant experience in tax, corporate governance, or nonprofit law, with a focus on nonprofit and tax-exempt organizations.
  • Experience gained from private practice, government (IRS), or in-house counsel at a nonprofit organization is preferred.
  • Strong drafting, writing, and analytical skills with attention to detail.
  • Excellent verbal and interpersonal communication skills.
  • Ability to manage multiple projects and deadlines effectively.
  • Superior academic credentials.
