A law firm seeks an experienced Principal Attorney with expertise in securities law and capital market transactions to join its Business Group in Portland, OR. This senior-level role is focused on guiding clients through complex transactions, including public offerings, regulatory compliance, and corporate governance matters. The attorney will have the opportunity to support a wide range of clients in collaboration with a talented, cross-functional team.

Duties

  • Provide legal counsel on public securities offerings, SEC compliance, and corporate governance standards.
  • Lead complex capital market transactions, covering both debt and equity offerings.
  • Assist clients in meeting public company reporting obligations and adhering to securities regulations.
  • Advise on corporate governance frameworks to promote compliance and organizational effectiveness.
  • Collaborate with attorneys across various practice areas to deliver comprehensive solutions for client needs.

Requirements

  • Experience: Minimum of 7 years in securities law, capital markets, public securities offerings, SEC compliance, corporate governance, and debt/equity transactions.
  • Portable Book of Business: Required.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: Proficiency in analytical thinking, legal writing, and a commitment to client service.
  • Communication: Excellent communication skills for effective client advisement.
  • Teamwork: Ability to work both collaboratively within a team and independently.
  • Project Management: Competent in managing multiple, complex projects with high attention to detail.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.
