Job Overview:

A leading law firm is seeking a mid-level corporate and securities associate to join its growing team in New York City. The ideal candidate will have a strong background in capital markets, corporate governance, and securities law, and will be responsible for advising corporate clients on various transactions. This position offers a dynamic environment for an attorney to work with both financial institutions and private/public corporations.

Key Duties & Responsibilities:

  • Advise clients on general corporate governance matters and provide securities law counsel related to public and private financings, mergers, and acquisitions.
  • Represent financial institutions and corporate clients in diverse capital markets transactions, including U.S. registered debt, equity offerings, initial public offerings (IPOs), and cross-border Rule 144A/Regulation S transactions.
  • Assist clients with the preparation and filing of SEC reports, including quarterly and annual filings.
  • Draft and review complex legal documents related to capital markets transactions.
  • Manage multiple files simultaneously and take primary responsibility for various client matters.
  • Collaborate effectively with senior attorneys and other team members, as well as interact with clients directly.
  • Maintain a high level of professionalism and strong client service orientation.

Requirements:

  • Experience in corporate law, specifically in securities and capital markets.
  • Proven experience advising clients on corporate governance, securities law, and transactions involving public/private financings.
  • Strong drafting, research, and analytical skills.
  • Excellent interpersonal skills, with a team-oriented approach to problem-solving.
  • Ability to manage multiple responsibilities and prioritize effectively.
  • Strong judgment and the ability to work independently.
  • Active membership in good standing with the New York State Bar.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in New York.

Skills:

  • Expertise in corporate and securities law, including SEC reporting requirements.
  • Experience with capital markets transactions, particularly debt/equity offerings and IPOs.
  • Strong communication skills, both written and verbal.
  • Detail-oriented with exceptional organizational skills.
  • Ability to work under pressure and meet tight deadlines.
