Job Overview: The Capital Markets Associate Attorney will assist with sophisticated corporate transactions, particularly within the power and utilities industries. The ideal candidate should have a strong academic background, exceptional analytical and writing skills, and a desire to work in a fast-paced legal environment.

Duties:

  • Assist in executing capital markets transactions, including initial public offerings (IPOs), secondary offerings, and debt offerings.
  • Draft and review legal documents, including offering memoranda, prospectuses, and disclosure documents.
  • Conduct legal research and analysis related to capital markets regulations, securities laws, and industry standards.
  • Collaborate with senior attorneys and clients to develop transaction strategies and ensure compliance with regulatory requirements.
  • Participate in due diligence investigations and assist in preparing due diligence reports.

Requirements:

  • 1-2 years of experience in capital markets transactions within a reputable law firm or financial institution.
  • Prior experience or a strong interest in working with a sophisticated New York practice focused on the power and utilities industries.
  • Membership in the New York Bar is required.
  • Strong academic record from a top-tier law school.
  • Exceptional analytical and writing skills with attention to detail.
  • Ability to work effectively in a team environment and manage multiple projects simultaneously.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • New York Bar membership.

Skills:

  • Proficiency in legal research and writing.
  • Strong understanding of capital markets regulations and securities laws.
  • Excellent communication and interpersonal skills.
