A law firm seeks a highly motivated and experienced Mergers & Acquisitions (M&A) Resource Attorney to provide key support to its corporate transactional practice group. This role focuses on enhancing the efficiency of legal teams by managing important resources, developing legal documents, and staying updated on evolving M&A regulations. The ideal candidate will have at least 7 years of experience in M&A or corporate law, strong organizational skills, and an ability to collaborate with attorneys to streamline operations.

Duties:

  • Transaction Database Management: Enter deal terms into an updated Transaction Database and collaborate with the knowledge management team to ensure its accuracy and continuous improvement.
  • Form and Precedent Drafting/Management: Prepare and revise template documents, while maintaining and organizing a comprehensive library of M&A precedents and resources.
  • Legal Updates: Stay informed on legal and regulatory changes affecting M&A practices; create summaries and alerts to keep the team updated and ensure new legal standards are reflected in practice materials.
  • Legal Education: Work with the legal education team to create content for training sessions and other educational initiatives related to M&A.
  • Marketing/Business Development: Assist the marketing team in crafting content to promote the M&A practice, including blog posts, pitch materials, and presentations.
  • Attorney Support: Handle day-to-day requests from attorneys for precedents, templates, and other M&A resources.
  • New Initiatives: Engage in projects related to knowledge management and practice innovation as needed.
  • Other Duties: Perform additional tasks as assigned by the firm.

Requirements:

  • Minimum of 7 years of experience in M&A or corporate transactional law.
  • Strong familiarity with public and private M&A, corporate governance, board fiduciary duties, and market trends.
  • Proven ability to manage multiple projects simultaneously and coordinate with various stakeholders.
  • Strong drafting and organizational skills, with a keen eye for detail.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active Bar membership in a U.S. jurisdiction.

Certifications:

  • Licensed attorney with at least 7 years of relevant legal experience.

Skills:

  • Exceptional attention to detail, especially in drafting and quality control of legal documents.
  • Excellent organizational and project management skills, able to manage complex and ongoing initiatives.
  • Adaptability to changing project needs and flexibility in taking on additional tasks.
  • Collaborative team player with the ability to support colleagues in a fast-paced environment.
  • Strong written and verbal communication skills.
