A law firm is seeking a Corporate Business Law Associate Attorney for their Buffalo, NY office.

 

Job Overview:

The Corporate Business Law Associate Attorney will counsel clients on various legal matters, including corporate transactions, mergers and acquisitions, business formation, and compliance issues. They will play a pivotal role in navigating the challenges faced by clients in a dynamic business environment. Responsibilities include advising clients on business entity formation, negotiating and drafting legal documents, handling mergers and acquisitions, representing businesses in disputes and litigation, staying updated on changes in laws affecting business clients, developing risk management strategies, and fostering client relationships. The ideal candidate should possess a Juris Doctor (JD) from an accredited law school, be admitted to practice law in the State of New York, have 3-6 years of experience, excellent analytical and communication skills, attention to detail, and proficiency in legal research platforms such as Westlaw or LexisNexis.

 

Duties:

  • Counsel clients on various legal matters including corporate transactions, mergers and acquisitions, business formation, and compliance issues
  • Advise and represent clients in business entity formation and negotiations
  • Draft, review, and negotiate legal documents related to corporate transactions
  • Handle mergers and acquisitions, including due diligence and overseeing closing procedures
  • Represent businesses in disputes and litigation, working closely with the litigation department
  • Stay updated on changes in laws affecting business clients
  • Develop risk management strategies and compliance protocols
  • Foster and maintain client relationships, tailoring legal assistance to individual client needs

 

Requirements:

  • Juris Doctor (JD) from an accredited law school
  • Admission to practice law in the State of New York
  • 3-6 years of experience in corporate business law
  • Excellent analytical, negotiation, and communication skills
  • Detail-oriented with the ability to work autonomously and within a team
  • Proficiency in legal research platforms such as Westlaw or LexisNexis
