A law firm is seeking a Junior Corporate Associate Attorney to join their team in Ann Arbor. The ideal candidate will have 1-2 years of experience working with start-ups and emerging growth companies, seed and venture capital financings, growth and private equity, and potentially mergers and acquisitions. This role involves significant client contact and requires excellent communication skills.

Key Responsibilities:

  • Provide legal counsel to start-ups and emerging growth companies.
  • Assist in seed and venture capital financings, as well as growth and private equity transactions.
  • Support mergers and acquisitions, including drafting and negotiating transaction documents.
  • Counsel early-stage entrepreneurs on a variety of corporate and legal matters.
  • Represent companies and venture funds in venture financing rounds and M&A transactions.
  • Participate in investor-side financing in growth equity rounds.
  • Maintain regular and significant client contact, including interactions with CEOs, Boards of Directors, and general partners of venture funds.
  • Conduct thorough legal research and draft legal documents, including contracts, agreements, and corporate filings.
  • Collaborate with other attorneys, paralegals, and staff to deliver high-quality legal services.
  • Ensure compliance with all firm policies and practices.
  • Perform other duties, tasks, or projects as assigned.

Qualifications:

  • JD degree from an accredited law school.
  • Licensed to practice law in the relevant jurisdiction.
  • 1-2 years of experience in corporate law, specifically with start-ups and emerging growth companies, seed and venture capital financings, and growth and private equity.
  • Previous experience at a large law firm is required.
  • Experience with mergers and acquisitions is a plus.
  • Excellent written and oral communication skills.
  • Strong analytical and problem-solving skills.
  • Ability to interact comfortably and effectively with clients, including CEOs, Boards of Directors, and general partners of venture funds.
  • Strong organizational and time management skills.
  • Ability to work independently and as part of a team.
