Job Overview: A law firm seeks a Corporate Associate to join their Chicago office with a focus on energy and franchise matters. This position offers the opportunity to work with a dynamic team handling complex commercial transactions. The ideal candidate will have experience in corporate law, mergers and acquisitions, and franchise matters, along with a strong background in drafting and preparing legal documents such as franchise disclosure documents (FDD) and franchise agreements. An Illinois law license is required.

Duties:

  • Handle transactional work related to corporate law, mergers and acquisitions (M&A), and franchise matters.
  • Prepare and review franchise disclosure documents (FDD) and franchise agreements.
  • Advise clients on a wide range of commercial transactions and legal matters, including energy-related issues.
  • Collaborate with internal teams to ensure efficient management of client matters.
  • Provide strategic legal counsel in high-stakes commercial deals and corporate restructuring.
  • Maintain excellent client relationships and provide expert legal advice in line with client business objectives.
  • Manage and organize large, complex transactions with attention to detail and deadlines.

Requirements:

  • At least 2 years of experience in transactional law, with a focus on corporate/M&A, franchise, or real estate matters.
  • Experience preparing franchise disclosure documents (FDD) and franchise agreements is preferred.
  • Strong communication skills, both written and verbal.
  • Excellent problem-solving, analytical, and decision-making abilities.
  • High attention to detail and the ability to manage multiple projects in a fast-paced environment.
  • Strong organizational skills and the ability to meet deadlines.
  • Ability to maintain confidentiality and handle sensitive client information.

Education:

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to the Illinois Bar is required.

Certifications:

  • Active Illinois law license required.
