Job Overview:
A law firm in Newport Beach is seeking an experienced associate or counsel to join its Public Company Advisory group within the Capital Markets practice. The role involves working with public companies across diverse industries, advising on securities law compliance, corporate governance, and SEC reporting. The ideal candidate will bring expertise and the ability to independently manage day-to-day legal matters for a growing client base while collaborating with a team of legal professionals.

Duties:

• Advise public companies on securities law compliance, disclosure requirements, and corporate governance matters.
• Independently manage SEC reporting and day-to-day corporate governance issues for clients.
• Support public companies across various industries, including technology, healthcare, real estate, and retail.
• Assist in capital markets offerings and transactional elements of public company representation.
• Collaborate with a team of legal professionals to ensure comprehensive client service.

Requirements:

• Minimum of 5 years of relevant experience in securities law compliance and corporate governance.
• Strong ability to manage legal matters independently while maintaining client satisfaction.
• Familiarity with public company needs, ranging from emerging growth companies to established Fortune 500 firms.

Education:

• Juris Doctor (JD) degree with superior academic credentials.

Certifications:

• Active membership in the California State Bar or eligibility for membership.
