Job Overview:

A prestigious law firm, located in the heart of New York City, is seeking a driven Junior Corporate Attorney to join its dynamic team. This position is ideal for an individual with fluency in both Mandarin and English and 1-3 years of experience in securities and corporate law. The role offers exposure to a diverse range of corporate legal matters, including securities offerings, mergers & acquisitions, and regulatory compliance. Duties:

• Provide legal counsel and support in the areas of securities, corporate law, and mergers & acquisitions.
• Assist with registered securities offerings, SEC filings, and compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Manage client relationships proactively, providing strategic legal advice to high-growth businesses and investors.
• Draft and review legal documents, including corporate governance policies, financing agreements, and regulatory filings.
• Conduct detailed legal research on SEC regulations, compliance requirements, and market trends.
• Collaborate with senior attorneys on complex transactions and client matters, ensuring timely and accurate execution.

Requirements:

• Fluency in both Mandarin and English (written and spoken).
• Admission to the New York State Bar.
• Must be authorized to work in the United States.
• Minimum of 1-3 years of experience in securities, corporate law, or related fields.
• Strong working knowledge of SEC regulations, corporate governance, and legal frameworks for M&A and securities transactions.
• Excellent written and verbal communication skills, with a keen eye for detail.
• Self-motivated and proactive, with a strong commitment to client service and outcomes.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• An active member of the New York State Bar.

Skills:

• Proficiency in Mandarin and English (both languages required for day-to-day work).
• Solid understanding of corporate law, securities regulations, and compliance requirements.
• Exceptional research, analytical, and drafting skills.
• Strong interpersonal and communication abilities.
• Ability to manage multiple tasks and meet deadlines in a fast-paced environment.
