Job Overview: A law firm is seeking a highly qualified mid to senior-level Project Finance Attorney with significant experience in energy and infrastructure projects, including finance, M&A, and development. This role will focus on large renewable, conventional power, and energy projects, with a core emphasis on credit and security documentation, power purchase agreements, and related transactional work. The ideal candidate will have experience running closings for financing or acquisitions in the energy sector, as well as expertise in drafting and negotiating complex project contracts. Duties:

  • Provide legal counsel on energy and infrastructure project finance transactions, including M&A, development, and financing of renewable and conventional power projects.
  • Draft and negotiate key transactional documents, including credit and security agreements, power purchase agreements, and purchase and sale agreements.
  • Manage and run closings for financing or acquisitions/dispositions in power, energy, and infrastructure projects.
  • Work on a range of projects, including wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers.
  • Collaborate with clients and internal teams to develop and structure financing and development strategies for complex energy projects.
  • Advise clients on legal and regulatory issues impacting energy and infrastructure transactions.
  • Handle various aspects of project contracts, particularly power purchase agreements and related supply and offtake agreements.
  • Provide leadership and mentorship to junior associates, helping to build and develop the team.

Requirements:

  • 4-6 years of experience in project finance, M&A, and/or development of energy and infrastructure projects, with a strong background at a national or international law firm.
  • Expertise in transactional legal work for renewable, conventional power, and energy projects.
  • Experience drafting and negotiating power purchase agreements and related project contracts.
  • Experience in credit and security documentation, purchase and sale agreements, and merger documentation.
  • Demonstrated experience running closings for financings or acquisitions/dispositions.
  • Knowledge and experience in emerging energy technologies such as hydrogen, carbon capture, battery storage, and renewable natural gas is a plus.
  • Strong client management and communication skills.
  • Excellent analytical, negotiation, and drafting skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the state Bar (relevant to the office location).

Skills:

  • Project finance and energy law expertise.
  • M&A and transactional legal experience.
  • Drafting and negotiating complex contracts, including power purchase agreements.
  • Strong closing and transaction management experience.
  • Client relationship management and strategic advisory skills.
