Job Title: Global Equity Compensation and Employment Associate Attorney

Job Overview: A prestigious law firm located in Houston, TX is seeking a Global Equity Compensation and Employment Associate or Managing Associate with 3-5 years of experience. This position is part of the Global Employment, Equity Compensation, and Immigration practice. The successful candidate will join a collaborative team focused on providing legal counsel to multinational and emerging companies on diverse equity compensation and employment matters. The role offers an opportunity to work closely with clients in the fast-growth and technology sectors, addressing a variety of complex legal issues.

Duties:

  • Provide legal counsel on a broad range of equity compensation and employment matters, including the rollout and compliance of stock options (SO), restricted stock units (RSU), and employee stock purchase plans (ESPP).
  • Advise clients on securities and foreign exchange filings related to SO, RSU, and ESPP programs, as well as issues surrounding leaves of absence, accommodations, and return-to-office protocols.
  • Handle independent contractor classification, employment agreements, onboarding processes, performance management, and termination issues.
  • Prepare multi-country analyses and draft employment and compensation-related documents and agreements.
  • Project manage global teams, conduct multijurisdictional research, and assist in the preparation and delivery of analysis and research to clients in writing and during meetings.
  • Collaborate on employment agreements, handbooks, bonus and commission plans, and due diligence projects related to equity compensation and employment aspects of global M&A transactions.

Requirements:

  • 3-5 years of experience in employee equity compensation or employment counseling, with a preference for cross-border experience.
  • Strong academic credentials and a demonstrated ability to communicate effectively, both verbally and in writing.
  • Admission to the Texas State Bar is required.
  • Direct experience with the responsibilities listed in this posting is highly appreciated.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be a licensed attorney in good standing with the Texas State Bar.
