Corporate Finance Associate Attorney

Job Overview: A law firm in Chicago, IL, is seeking a highly qualified Corporate Finance Associate Attorney with 3-6 years of experience in transactional, real estate, or finance law. The ideal candidate will provide strategic counsel to clients on a wide range of financial transactions, including secured and unsecured lending, private placements, and portfolio acquisitions.

Duties:

• Provide legal advice and counsel on secured and unsecured lending transactions, including equipment leasing.
• Draft and negotiate offering documents, transaction agreements, and financing statements.
• Advise clients on the acquisition or sale of portfolios of financial assets.
• Serve as debt counsel in various finance transactions, including traditional, leveraged, synthetic, and capital lease transactions.
• Handle commercial and securities law issues related to finance transactions.
• Represent insurance companies, banks, finance companies, and financial institutions in private placements, both domestic and cross-border.
• Negotiate and structure financing transactions involving diverse asset classes.

Requirements:

• JD from an accredited law school.
• 3-6 years of experience in transactional, real estate, or finance law at a large or mid-size law firm, in-house law department, or financing company.
• Experience in advising on secured and unsecured lending transactions, equipment leasing, private placements, and portfolio acquisitions.
• Knowledge of commercial and securities law issues relevant to finance transactions.
• Admission to the Illinois Bar in good standing or eligible to waive into the IL Bar.
