Duties and Responsibilities:

  • Advise clients on public and private company equity and debt capital markets transactions.
  • Counsel public and private companies on SEC reporting, financings, and general corporate matters.
  • Provide regulatory and transactional support in the FinTech sector.
  • Manage client relationships effectively, ensuring high-quality legal service.
  • Stay current with developments in U.S. securities laws and FinTech regulations.
  • Collaborate with other attorneys and teams within the firm to deliver comprehensive legal solutions.
  • Prepare and review legal documents, including offering memoranda, registration statements, and compliance reports.
  • Represent clients in negotiations and transactions involving capital markets and securities.

Requirements:

  • 3-5 years of experience in capital markets, securities, or FinTech law.
  • Familiarity with U.S. securities laws and regulations.
  • Experience advising clients on equity and debt capital markets transactions, SEC reporting, and general corporate matters.
  • Prior transactional or regulatory experience in the FinTech sector is highly preferred.
  • Strong academic credentials with a track record of achievement.
  • Excellent client management skills and the ability to handle complex legal issues.
  • Relevant law firm experience from an AmLaw 50 firm is preferred.

Education and Certifications:

  • Juris Doctorate (J.D.) degree from an accredited law school.
  • License to practice law in California.
