A law firm in Denver, CO, is seeking a Corporate Attorney with a strong background in structured finance transactions. The ideal candidate will have experience or a demonstrated interest in corporate transactional practices, with a focus on financing transactions including solar tax credits and new markets tax credits.

Duties and Responsibilities:

  • Draft and negotiate a variety of financing documents, including loan and security agreements, operating agreements, guaranties, tax credit transfer agreements, equity financing agreements, leases, purchase and sale agreements, corporate resolutions, and consents.
  • Conduct due diligence for financing transactions, reviewing organizational documents, title and survey reports, grant agreements, and other relevant documents.
  • Communicate effectively and professionally with clients and supervising attorneys, both orally and in writing.
  • Manage multiple matters and tasks simultaneously, ensuring efficient and timely completion.
  • Learn new legal topics and factual subject matters as needed for specific matters.
  • Work under pressure and meet deadlines while maintaining high-quality work.
  • Organize and manage matters effectively, coordinating with partners, associates, and support staff.
  • Collaborate effectively in large transactional teams.

Requirements:

  • Juris Doctorate (J.D.) from an ABA accredited law school.
  • Admission to practice law in the State of Colorado; licenses must be in good standing.
  • Master of Laws (LL.M.) in Taxation preferred.
  • 2+ years of experience in structured finance transactions in a law firm setting preferred.

Skills:

  • Knowledge of structured finance transactions, debt, equity, and tax credit financing.
  • Superior drafting and negotiating skills.
  • Base understanding of conducting due diligence for financing transactions.
  • Strong organizational and matter management skills.
  • Ability to work collaboratively and professionally with diverse teams.
  • Ability to work with large working groups as part of transactional teams.
  • Proficiency in legal research and analysis.
  • Excellent communication skills, both oral and written.
