Job Overview

A law firm seeks a talented Business & Corporate Associate Attorney to join its established Franchise and Distribution practice group. This role involves collaborating with seasoned franchise attorneys to support national and emerging brands in structuring and documenting franchise relationships, regulatory compliance, and addressing various corporate legal matters. Duties

  • Collaborate with franchise attorneys to structure and draft franchise agreements for clients.
  • Handle franchise regulatory matters, including liaising with state and federal regulators and advising clients on compliance with applicable laws.
  • Provide counsel to buyers and sellers in corporate transactions, including drafting and negotiating purchase agreements.
  • Assist with mergers, acquisitions, and other general business and corporate legal matters.
  • Draft and negotiate shareholder agreements, operating agreements, and other corporate governance documents.
  • Support entity formation and structuring for business clients.

Requirements

  • Minimum of three years of experience in business and corporate law.
  • Familiarity with franchise legal matters is strongly preferred.
  • Demonstrated ability to manage a variety of legal tasks in a client-focused environment.
  • Strong analytical and research skills with attention to detail.
  • Proven ability to work both collaboratively and independently.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in the state of Minnesota.

  • Proficient in drafting, negotiating, and reviewing legal documents.
