Job Location: Washington, DC

Job Overview:
A prominent law firm is looking to hire a mid-level corporate associate to join its Capital Markets and Public Companies group. This role offers the opportunity to work with a dynamic team of attorneys, advising public companies, investment banks, and other clients on a range of corporate matters, including SEC compliance, governance, and capital market transactions. The ideal candidate will have at least three years of experience in capital markets law and a demonstrated interest or experience working with technology and life sciences clients.

Duties:

  • Advise public companies on SEC compliance, disclosure obligations, governance practices, and exchange-related matters.
  • Represent issuers or investment banks in capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
  • Collaborate with clients on corporate governance issues, including board matters and regulatory compliance.
  • Provide strategic counsel on corporate restructuring and financing options for growth-stage and publicly traded companies.
  • Stay current on legal developments related to public company governance, securities law, and regulatory changes.

Requirements:

  • At least 3 years of experience in corporate law, with a focus on public companies or investment banks.
  • Extensive experience advising on SEC matters, public offerings, and capital markets transactions.
  • Must be admitted to the DC Bar or eligible to apply for admission.
  • Strong analytical, writing, and communication skills.
  • Ability to thrive in a fast-paced, collaborative environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the DC Bar is required.

Skills:

  • Proficiency in advising on SEC compliance, capital markets transactions, and corporate governance.
