Job Overview:
A leading law firm is seeking a midlevel associate to join its Corporate & Business Transactions practice group. The ideal candidate will have 4 to 5 years of experience in M&A/Private Equity transactions, including the drafting and negotiation of transaction agreements. This is an excellent opportunity to work on high-value transactions with a dynamic team of legal professionals.

Duties:

  • Manage M&A and Private Equity transactions, providing support in drafting and negotiating transaction agreements.
  • Provide legal counsel to clients on corporate matters, ensuring compliance and accuracy in documentation.
  • Conduct thorough legal research and analysis of corporate transactions.
  • Work closely with senior attorneys to structure and execute complex business deals.
  • Review and prepare various corporate legal documents, including contracts and transaction-related agreements.
  • Cultivate and maintain strong client relationships through clear communication and efficient legal support.
  • Participate in business development activities, helping expand the firm's client base.

Requirements:

  • 4 to 5 years of experience in M&A and Private Equity transactions at a law firm.
  • Strong proficiency in drafting and negotiating transaction agreements.
  • Experience managing corporate transactions and providing strategic legal advice.
  • Excellent organizational and analytical skills, with attention to detail.
  • Ability to thrive in a fast-paced, deadline-driven environment.
  • Active bar membership in the state of the office location.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the bar in the state where the position is located.

Skills:

  • Exceptional legal research, drafting, and negotiation skills.
  • Strong communication skills, both written and verbal.
  • Ability to manage multiple projects and meet deadlines.
