A law firm in Austin, TX, is seeking a skilled and experienced ECVC Associate Attorney with 5-7 years of expertise in early-stage company and venture capital law. The successful candidate will support a diverse portfolio of clients, providing expert legal advice and representing their interests in various transactions and legal matters. This role requires a strong background in venture capital and early-stage company law, exceptional analytical skills, and the ability to manage complex legal issues effectively.

Duties and Responsibilities:

  • Provide legal counsel and representation for early-stage companies and venture capital clients.
  • Draft, review, and negotiate term sheets, investment agreements, and other legal documents.
  • Advise clients on structuring and executing financing transactions, including equity investments, convertible notes, and SAFEs.
  • Assist in mergers and acquisitions, corporate reorganizations, and strategic partnerships.
  • Conducted due diligence and prepared detailed reports on legal and financial aspects of transactions.
  • Develop and maintain relationships with clients, investors, and other stakeholders.
  • Stay current with industry trends, regulatory changes, and legal developments affecting ECVC.
  • Collaborate with other attorneys and legal professionals to provide comprehensive legal services.
  • Represent clients in negotiations and before regulatory bodies as needed.
  • Prepare and deliver presentations and legal opinions to clients and internal teams.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Texas State Bar or eligibility for admission.
  • 5-7 years of experience in early-stage company and venture capital law.
  • Proven track record of managing complex ECVC transactions and providing strategic legal advice.
  • Strong understanding of venture capital funding structures, startup dynamics, and corporate law.

Education:

  • JD from an accredited law school.
  • Bachelor’s degree in a related field.

Certifications:

  • Licensed to practice law in Texas or eligible for admission.

Skills:

  • Excellent analytical and problem-solving abilities.
  • Strong negotiation and drafting skills.
  • Ability to manage multiple priorities and work in a fast-paced environment.
  • Effective communication skills, both verbal and written.
  • High level of professionalism and ethical standards.
