A law firm seeks an Associate Attorney with at least three years of experience to join its Business Group in Portland, OR. This position involves supporting businesses of varying sizes on a wide range of sophisticated transactions, focusing on entity selection, capital raises, and organizational governance. The successful candidate will work alongside experienced attorneys across multiple locations, contributing to impactful transactions in various industries.

Duties

  • Advise clients on entity selection, formation, and organizational governance structures.
  • Support day-to-day business needs for both small and large companies.
  • Lead and manage capital raise transactions, including private offerings and debt/equity financing with a range of investors such as angel investors, venture capital funds, and traditional banks.
  • Provide guidance on public company matters, capital markets, and mergers and acquisitions (M&A) as needed.
  • Collaborate with attorneys across various offices to deliver cohesive legal solutions for client transactions.

Requirements

  • Experience: 3+ years in corporate governance, capital raises, and financing for emerging businesses; additional experience in public company matters, capital markets, or M&A is beneficial.
  • Academic Credentials: Strong academic background with a JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: High-level analytical skills and proficient legal writing abilities.
  • Client Service: Client-focused approach with strong communication and interpersonal skills.
  • Teamwork: Ability to thrive in a collaborative, diverse team environment.
  • Project Management: Skilled in managing multiple projects efficiently and independently.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.
