Job Overview:
A prestigious law firm is seeking a Senior Private Equity Associate to join its Private Equity Group. The position is available in multiple offices across major U.S. cities. The ideal candidate will have a minimum of six years of experience advising private equity firms and their portfolio companies on complex transactions, including mergers and acquisitions, leveraged buyouts, equity investments, and general corporate matters. This role offers a dynamic work environment with a blend of in-office and remote work options.

Location:

  • Palo Alto, CA

Duties:

  • Advise private equity firms and portfolio companies on:
    • Mergers and acquisitions
    • Leveraged buyouts
    • Equity investments
    • General corporate transactions
  • Draft, negotiate, and review transactional documents
  • Conduct legal research and provide strategic advice on business and corporate matters
  • Collaborate with clients and internal teams to ensure successful deal execution
  • Maintain strong client relationships and contribute to business development efforts
  • Ensure compliance with legal and regulatory requirements

Requirements:

  • Minimum of 6 years of private equity experience
  • Experience with AmLaw 100 law firms or SEC-related matters
  • Strong analytical, research, and writing skills
  • Excellent communication and organizational abilities
  • Ability to work both collaboratively and independently
  • Strong business judgment and problem-solving skills

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the Bar in the jurisdiction of the applied office (required)

Skills:

  • Expertise in private equity transactions and corporate law
  • Strong drafting and negotiation skills
  • Ability to manage multiple projects and meet deadlines
  • Excellent interpersonal and communication skills
  • Strong leadership and management abilities
