Job Overview: A prestigious law firm is seeking a qualified Finance Associate Attorney to join its Business Finance & Healthcare practice group. This is a full-time, partnership-track position, offering the opportunity to work on a variety of finance-related matters. The ideal candidate will possess significant experience with finance transactions, particularly in syndicated and middle-market lending, and Article 9 of the UCC. The role involves working with both lenders and borrowers, including experience with workouts and complex financial deals.

Duties:

• Handle a broad range of finance transactions, with a focus on syndicated and middle-market lending.
• Manage and lead transactional documentation and closings.
• Advise clients on financial structures, transactions, and legal requirements.
• Assist in negotiating and drafting loan agreements, security agreements, and related documents.
• Represent both borrowers and lenders in various financial arrangements and workouts.
• Collaborate effectively with team members and clients, ensuring a seamless and efficient transaction process.
• Provide comprehensive legal analysis and guidance related to financial transactions.

Requirements:

• Minimum 4-6 years of experience in finance law, with a strong focus on lending transactions.
• Demonstrated expertise in Article 9 of the UCC and syndicated lending.
• Experience representing both lenders and borrowers in workouts is a plus.
• Exceptional analytical and problem-solving skills.
• Ability to independently manage a transaction and meet deadlines.
• Strong writing and communication abilities.
• Excellent organizational skills with the ability to manage multiple priorities in a fast-paced environment.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active GA Bar membership is preferred.

Skills:

• Strong financial and legal knowledge in lending and finance law.
• Excellent contract drafting and negotiation skills.
• Ability to work well in a team environment while managing complex matters independently.
• Proficient with legal research tools and finance-related software.
