A law firm seeks a talented and driven mid-level associate with 4-7 years of experience in private equity, mergers and acquisitions, venture capital, debt finance, and general corporate law to join its Chicago office. The ideal candidate will be engaged in a variety of corporate matters, working with clients across a range of industries, from startups to multinational corporations. This role offers a dynamic and collaborative environment where associates gain significant exposure to clients and complex transactions.

Duties:

  • Draft and negotiate transaction agreements and other related documents with clarity and precision.
  • Work closely with clients and supervising attorneys to negotiate deal terms and manage transaction processes.
  • Oversee and manage transaction closings, ensuring all steps are completed efficiently.
  • Conduct thorough legal and factual research and provide detailed analysis of corporate matters.
  • Maintain professional communication with clients and colleagues, providing regular updates and insights.
  • Lead and mentor junior team members, offering guidance and support on various projects.

Requirements:

  • 4-7 years of experience in corporate law, with a specific focus on private equity, mergers and acquisitions, venture capital, and debt finance.
  • Experience negotiating and drafting complex transaction documents and managing transactions from start to finish.
  • Strong organizational skills and the ability to handle multiple transactions and deadlines simultaneously.
  • Demonstrated ability to work effectively with clients and team members in a fast-paced environment.
  • Excellent communication skills, both written and verbal, with the ability to clearly explain complex legal matters.
  • Ability to think creatively and adapt to various types and structures of corporate transactions.
  • Strong academic credentials and professional qualifications.
  • Admission to the Illinois State Bar or eligibility for admission through reciprocity.

Education:

  • Juris Doctor (JD) degree from an accredited law school with strong academic performance.

Certifications:

  • Active membership with the Illinois State Bar or eligibility for admission.

Skills:

  • Expertise in corporate law, particularly in private equity, mergers, acquisitions, and venture capital.
  • Ability to negotiate and draft complex agreements with precision.
  • Strong project management skills and the ability to manage multiple transactions simultaneously.
  • Proficiency in legal research and analysis, with a keen attention to detail.
  • Ability to build and maintain strong client relationships and interact effectively with various stakeholders.
  • Experience mentoring junior associates and leading teams on corporate matters.
