Job Overview:
A prominent law firm is seeking a skilled Securities Attorney with over 6 years of experience in managing structured securities offerings to join its Investment Funds Group. This professional track (non-partnership track) position requires expertise in commercial real estate law, focusing on real estate finance, acquisitions, and dispositions. The attorney will represent public and private real estate companies, REITs, and institutional investors in a variety of complex transactions, including acquisitions, dispositions, restructurings, and real estate development. The position offers flexibility in terms of location, with the option to work in several US offices.

Location:

  • Palo Alto, CA

Duties:

  • Manage structured securities offerings for clients in commercial real estate transactions.
  • Represent clients in acquisitions, dispositions, restructurings, and financings.
  • Provide legal advice on investment funds and commercial real estate matters.
  • Draft and review complex securities-related legal documents and agreements.
  • Conduct legal research and provide strategic solutions for real estate transactions.
  • Collaborate with clients, team members, and other stakeholders to drive successful outcomes.

Requirements:

  • Minimum of 6 years of experience in managing structured securities offerings.
  • Expertise in commercial real estate law, particularly real estate finance, acquisitions, and dispositions.
  • Experience in advising on securities law and structuring complex transactions.
  • Strong analytical, problem-solving, and business judgment skills.
  • Ability to work both independently and collaboratively in a team environment.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Admitted to practice in the jurisdiction where the position is located.

Skills:

  • Excellent written and oral communication skills.
  • Strong analytical and research abilities.
  • Attention to detail and organizational skills.
  • Ability to influence others and manage client relationships.
  • Experience in drafting legal documents and providing strategic legal advice.
