Corporate and Business Law Attorney

A law firm in Potomac, MD is seeking a skilled Corporate and Business Law Attorney with expertise in transactions, shareholder and operating agreements, non-compete and executive compensation agreements, and business dispute resolution. The ideal candidate should demonstrate exceptional writing and analytical skills, possess strong client communication abilities, and exhibit sound judgment in their legal practice.

Job Duties:

• Draft and negotiate various business agreements including shareholders’ agreements, operating agreements, non-compete agreements, and executive compensation packages.
• Provide legal counsel on corporate governance matters, compliance issues, and business structuring.
• Handle business transactional matters including mergers, acquisitions, and joint ventures.
• Represent clients in business dispute resolutions, including litigation and alternative dispute resolution methods.
• Conduct legal research and analysis on complex corporate and business law issues.
• Advise clients on legal risks and business strategies.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Maryland Bar is required; admission to the D.C. and Virginia Bars is preferred.
• 5+ years of experience practicing corporate and business law, with a focus on transactional matters.
• Proven track record of drafting complex business agreements and providing strategic legal advice.
• Excellent writing, analytical, and communication skills.
• Ability to work independently and collaboratively in a team-oriented environment.
• Strong attention to detail and ability to manage multiple priorities effectively.
• Sound judgment and ethical conduct in legal practice.

Preferred Skills:

• Experience in handling corporate governance issues and compliance matters.
