A law firm in San Diego, CA is seeking a talented Commercial Finance Associate Attorney with 4-6 years of experience in managing complex commercial finance transactions. The ideal candidate will possess comprehensive knowledge of commercial finance transactions, the Uniform Commercial Code (UCC), secured transactions, and substantial experience in drafting and negotiating loan documentation, including leveraged finance. Experience representing a diverse clientele including borrowers, lenders, private equity sponsors, and agents in various finance transactions is highly desirable.

Job Duties:

  • Conducting thorough legal research and analysis pertaining to commercial finance matters, including UCC issues and secured transactions.
  • Drafting, reviewing, and negotiating a wide array of finance documents such as loan agreements, security agreements, and related documentation.
  • Providing strategic legal counsel to clients on matters related to commercial finance transactions, offering insightful guidance and risk evaluation.
  • Assisting in due diligence processes and preparing comprehensive reports for finance transactions.
  • Managing transactional closings and effectively liaising with clients and opposing counsel throughout the process.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar and in good standing in the state of California.
  • 4-6 years of progressive experience practicing law, with a strong emphasis on complex commercial finance transactions.
  • In-depth understanding of the Uniform Commercial Code and relevant legal principles.
  • Proven experience in leveraged finance and familiarity with financial instruments and lending structures.
